BY LAWS

ARTICLE I - MEETINGS

Section 1.The regular monthly meeting shall be held on the second Monday of each month at 7:30 p.m. at the Bluewell United Methodist Church or at a designated place.

ARTICLE II - MEMBERSHIP

Section 1.Any woman interested in the purpose for which the club was formed, and is willing to pay the annual dues is eligible for active membership.
Section 2.Names will be accepted for membership the entire year.
Section 3.A prospective member shall visit a Club meeting, and then the name and full address of the applicant for membership shall be submitted in writing to the membership chairman by an active member of the club.
Section 4.Those withdrawing from the club shall send their resignation in writing to the President.
Section 5.Delegates shall be elected by the membership to attend State and General Federation meetings.
Section 6.1. Flowers shall be sent from the club in the event of a death in the immediate family of a Club member (mother, father, brother, sister, husband, or child). A spray of flowers shall be sent to the funeral home and food shall be provided by club members if the services are local.
2. A bud vase will be sent to club members hospitalized.

ARTICLE III - DUES

Section 1.The dues for active members shall be $20.00 per year, payable by the second Monday in October. Any member not paying dues by the November meeting, will be notified.

ARTICLE IV - OFFICERS AND DUTIES

Section 1.The President shall preside at the meetings of the general club and of the Executive Board, and shall appoint such standing and temporary committees as are necessary. She shall also be a delegate to the State and General Federation meetings during her tem of office. She shall also be a member of the Budget & Finance Committee. All the President's expenses shall be paid by the club for any meeting at which she is a representative of the club during her term of office.
Section 2.The President-Elect shall automatically take the office of President. In the absence of the President, she shall also be Chairman of the Budget & Finance Committee. The President-Elect shall be responsible for collecting and preparing a record of all activities and putting information into a Scrapbook.
Section 3.In the absence of the President, and the President-Elect, the Vice-President shall perform the duties of the President at the meeting and shall automatically be coordinator of the Membership-Hospitality Committee. The Vice-President shall be responsible for sending flowers and cards to club members when necessary.
Section 4.The Recording Secretary shall keep the minutes of each club meeting and keep an accurate monthly roll of club attendance. She shall also furnish the Nominating Committee with a list of eligible members for Office at the proper time. She shall deliver to her successor, within one month after her term of office expires, all records of this organization in her custody.
Section 5.The Treasurer shall collect all dues, have charge of all funds and shall keep accurate written records of all money received and disbursed, and give a monthly report to the club. The Treasurer shall send written notices to any member delinquent in her dues by the November meeting. She shall issue and sign membership cards. After the books have been audited by a committee, appointed by the President, at the end of each Administration, she shall deliver to her successor, within one month, all money, books and papers of this organization in her custody. She shall also be a member of the Budget and Finance Committee.
Section 6.Officers of the club shall have the authority to act upon emergency activities if they arise.
Section 7.All business must be completed and all debts paid, so far as possible, by the retiring Executive Board, before the new Executive Board assumes the duties of office.

ARTICLE V - EXECUTIVE

Section 1.The Executive Board shall consist of the five officers of the club and all Committee coordinators, whether temporary or standing.
Section 2.Vacancies in office shall be filled by the Executive Board, with the exception listed below under elections.
Section 3.The Executive Board accepts or rejects applications for membership.
Section 4.The Board shall have general charge of all work of the club, except that for which other provisions have been made.
Section 5.The Board shall meet regularly, once each month, or when necessary, upon call of the President.
Section 6.A majority of the members shall constitute a quorum of the Board.
Section 7.All decisions of the Board shall be reported to the club for approval except during the summer recess.

ARTICLE VI - ELECTION OF OFFICERS

Section 1.All elective officers shall be elected by ballot.
Section 2.The Nominating Committee shall be composed of five members: one appointed by the President, two elected by the Board, and two nominated from the floor. The Chairman shall be the one appointed by the President. This Committee shall be selected in February in the even number of years, and present one candidate for each office at the following March meeting and if there are nominations from the floor, the election shall proceed by ballot. If there is only one candidate for each office, the election may be by voice.
Section 3.At all business meeting of the members, a quorum shall be constituted by the presence of two-thirds of the active members. (Active being those present at three of the last five meetings.)
Section 4.Members serving on the Nomination Committee may be presented for office if they are eligible.
Section 5.In case of a vacancy in the office of President, the President Elect shall succeed to the office and serve the unexpired term, subject to the approval of the Board. All other vacancies shall be filled by the Executive Board, subject to Club approval.
Section 6.All officers shall be installed at the April meeting to assume duties in May.

ARTICLE VII - PARLIAMENTARY AUTHORITY

Roberts Rules of Order, Newly Revised, is the authority of the General Federation of Woman's Clubs.

ARTICLE VIII - AMENDMENTS

These By-laws may be amended at any regular meeting by a two-thirds vote of those present, provided notice of the proposed amendment has been submitted in writing to the President, stated and discussed at the previous meeting.

CONSTITUTION

ARTICLE I - NAME

The name of this organization shall be "Bluewell Woman's Club."

The purpose of the Bluewell Woman's Club shall be to promote civic interest, social and educational culture of its' members.

ARTICLE II - PURPOSE

The purpose of the Bluewell Woman's Club shall be to promote civic interest, social and educational culture of its' members.

ARTICLE III - MEMBERSHIP

Any woman who is interested in the purpose of this organization shall be eligible to membership, provided she is a resident of Bluewell, or the surrounding area, at the time of making application.

ARTICLE IV - OFFICERS AND ELECTIONS

Section 1.Officers shall be elected for a two-year term in the even number of years.
Section 2.Officers shall consist of President, President-Elect, Vice-President, Recording Secretary and Treasurer.

ARTICLE V - EXECUTIVE BOARD

The Executive Board shall consist of the Officers, Department Coordinators and Standing Committee Coordinators.

ARTICLE VI - MEETINGS

The regular meetings of this club shall be held monthly.

ARTICLE VII - FISCAL YEAR

The Fiscal Year begins May 1 and extends through April 30 of the following year.

ARTICLE VIII - AMENDMENTS

Section 1.All such amendments shall be submitted to the President in writing and signed.
Section 2.This Constitution may be amended at any regular meeting by a two-thirds vote of members present, the proposed amendment having been stated, presented in writing, and discussed at the previous meeting.
